As a Senior Legal Counsel, you'll be responsible for providing legal advice and review for a range of matters across Dexus' funds management business unit in order to assist the business in achieving their high return targets.As Senior Legal Counsel, your responsibilities include but are not limited to:Funds management – providing legal advice in relation to real estate and infrastructure funds (both wholesale and retail funds) in relation to the following:Fund establishment and restructures including advising on structuring, equity raising, liquidity and general funds management mattersDraft and review fund constitutions, trust deeds, disclosure documents (including Product Disclosure Statements and Information Memorandum)Review and negotiate key service provider agreements for the funds including investment management agreements, custody agreements, fund administration, registry and other legal documents governing the operation of the fundFund-level queries including advising on trustee duties, investor rights, fund constitutions and side letters, overseas registrations, marketing materials and other related mattersInvestor Relations – assist fund managers and investor relations team in relation to their fund investments, investor queries and reporting as well as investor communications and updates.Regulatory advice – provide legal advice in relation to Australian financial services laws and ASIC regulatory policy in relation to the funds management businessCorporate governance – provide advice in relation to corporate governance matters for the funds management business and responsible entity/trustee boardsAbout YouWe are on the lookout for an experienced legal professional with circa 7-10 years' post-qualified experience in a major law firm and/or in a comparable in-house role, as a Senior Associate or Senior Legal Counsel. Over the course of your career, you will have gained significant exposure across funds management, as well as to ancillary legal areas as they relate to real estate, infrastructure and transactions. Partnered with excellent communication skills, you will be equipped with strong negotiation and problem-solving skills and a capability to remain agile and adapt to changing environments.
