Dragonfly Enviro Capital, founded in 2017, is a private equity investment company, investing growth capital focused on climate and biodiversity companies, capital assets and sustainable land development. We exist to provide clear evidence, by example, that high positive impact outcomes come with financial returns that are best in class; in doing so leaving a legacy of a better people and planet than when we received it.
Currently we are invested in 13 portfolio assets and are continuing to expand our portfolio. We invest directly from our balance sheet as well as into managed investment scheme SPV's we initiate and invite external investors to join us in.
We're a tight knit, all hands on deck, purpose lead team who are committed to the vision.
As the Senior Legal Counsel, in collaboration with the investment team, you will lead the legal aspects of our investment transactions, portfolio company management and our Head Company legal and governance matters. You will be instrumental in establishing new investment vehicles, deal completion and delivering commercial outcomes to maximise portfolio performance. This position extends beyond pure legal work, supporting capital raising, deal structuring, financial analysis, and investment strategy.

Responsibilities
Lead legal aspects of investment transactions.
Assist to document and manage corporate governance matters for Head Co and portfolio.
Develop and manage commercial contracts.
Assist to establish new investment vehicles.
Assist the investment team across all aspects of negotiating, structuring, progressing and closing investment transactions.
Establish and maintain standardized legal documentation templates and processes.
Monitor and advise on regulatory compliance issues for Head Co and across the portfolio.
Experience, Attributes and Qualifications
Minimum 7+ years of experience in corporate law with experience in M&A/ private equity transactions, plus holds the relevant academic qualifications.
Track record in leading legal projects for investment transactions, from initiation through to completion.
Demonstrated experience in contract law and the structuring of commercial agreements.
Experience in deal negotiation and transaction structuring.
Commercial acumen and ability to balance legal risks with business objectives.
Strong financial acumen demonstrated by previous experience in conducting business and transaction analysis.
Comprehensive experience in Australian corporate governance and regulatory compliance.
Experience in fund structuring and investment vehicle establishment, and insolvency and restructuring principles is valued but not necessary.
Commitment
This role offers flexible working arrangements with a hybrid of work from home and in the office, and it is suitable for someone who might like to have the flexibility to work between daycare/ school pick up times. Subject to the candidate it can be between 3 - 5 days per week which will be confirmed with the candidate selected.
