The North-Eastern Montessori School Association (NEMSA) is seeking to appoint two independent directors to the Board. These roles will be undertaken on a voluntary basis, with reimbursement available for reasonable expenses.ABOUT NEMSANEMSA was established in 1976 as a not-for-profit public company limited by guarantee. The Association is governed by a Board of Directors appointed in accordance with the Constitution and Board Charter. The Association's business name is North-Eastern Montessori School (NEMS). A new Constitution was adopted in 2023.One of the main objectives of the Association is to operate a School in accordance with Montessori principles and practices of education and human development. This objective has now been expanded to include the provision of Long Day Care and Out of School Hours Care to supplement the pre-school and primary school education in accordance with Montessori principles and practices.THE OPPORTUNITYNEMSA is seeking two independent Board Directors who will champion the purpose, vision, values, and strategic priorities of the school. As part of fulfilling the strategic objectives of the organisation, we are particularly seeking people who meet the requirements of our current skills profile who also have a passion and commitment to education and early childhood development.As a board member, you will bring your skills to help guide the organisation to grow, make the most of exciting new opportunities including the development of our Middle Years program, proactively manage risk, and maintain long-term financial sustainability.All NEMSA Directors have the full legal and ethical responsibilities of a Company Director. They provide strategic guidance and effective governance for the School, and effectively oversee the appointment and annual review of the School Principal. Governance training for newly appointed Directors will be available through Independent Schools Victoria (ISV).COMPETENCIES, SKILLS & REQUIREMENTSNEMSA recognises the importance of having a Board with the skills, knowledge, experience and capabilities necessary to ensure effective governance of the organisation.Ability to demonstrate the principles of corporate governance, including sufficient financial literacyDemonstrated commitment to the purpose and values of NEMSAAbility to think strategicallyAbility to review reports, monitor performance, identify risks and help implement strategiesExcellent interpersonal and communication skillsCommitted to and able to give sufficient time to the work of the BoardThe Board is particularly seeking applications from candidates with qualifications, skills and/or experience in the following:LawFinanceMarketingGovernance training or experience will be highly regarded.A National Police Certificate and Working with Children Check are mandatory for all Board members.BOARD MEETING SCHEDULE & ATTENDANCE EXPECTATIONSThe NEMSA Board meeting schedule consists of 10 Board meetings of approximately 2 hours in length per annumMeetings are held alternately at the School in St Helena and onlineIndependent Directors will be expected to sit on at least one Sub-Committee or Working Group, each of which meet approximately every 8 to 12 weeks for 1 to 2 hours
