About Us
Centacare New England North West exists to positively impact people's lives in the Catholic Diocese of Armidale.
We provide social welfare services for the social and emotional well-being of individuals, families and communities within the Diocese regardless of religion, circumstance, ethnicity, economic situation, age, gender or ability.
Programmes offered include Mental Health Services, Family Services, Youth Services, Disability Services, and Cultural Services.
Centacare is also the lead agency for headspace in Tamworth and Armidale.
Centacare NENW is the social services arm of the Catholic Diocese of Armidale, which covers the New England North West Region of NSW.
Monsignor Edward Wilkes is currently the Diocesan Administrator of the Diocese and the Member of Centacare NENW as we await the appointment of a new Bishop.
Centacare NENW has a staff of more than 160 volunteers and operates from nine locations across the Diocese.
Funding for services is primarily from the Federal and State Governments.
In the 2023-2024 Financial Year, Centacare NENW's annual turnover was approximately $22.6 million.
Centacare NENW is an incorporated entity, and a charity registered with the Australian Charities and Not-for-Profits Commission (ACNC).
The Board of Directors is a skills-based board chosen for its diverse range of skills, experience, and qualifications.
The Board determines the annual budget, policies, strategic plans, and performance targets for the Organisation to achieve its purpose and mission while at the same time ensuring growth and sustainability.
Job Description Role Overview
We are seeking an experienced and passionate individual to join our Board as a Non-Executive Director (NED).
As a Director you will play a key role in providing strategic oversight and governance, helping to guide the organisation towards achieving its mission.
Key Responsibilities: Contribute to the development and oversight of organisational strategy.Ensure robust governance and financial management.Act as an ambassador for the organisation within the wider community.Attend regular board meetings and participate in sub-committees as required.Provide independent judgment on issues of performance, risk, and the direction of the organization.Candidates should know that a significant workload and time commitment are involved in being a director.
It is expected that directors will allow for the following time commitments:
Board Meetings – Directors are required to attend all board meetings, and six meetings are usually held each year.
The Directors are expected to have reviewed the papers and prepared for the meetings.Strategic Planning and Special Meetings—At least one and possibly two additional meetings, including strategic planning days.
Other issues may also arise that require additional or urgent meetings.Board Committees—All Directors are appointed to at least one Board Committee, which meets usually quarterly.Email is a significant method of communication between the Board and Management.
Each Director is expected to check for and attend to any emails on a timely basis.
Directors are expected to understand what is happening within the social services and not-for-profit sectors.
This is usually achieved through reading communications from Centacare, industry bodies, and associations, most of which are available online.
From time to time, attendance at special seminars and workshops may also be required.
Directors must also undertake activities contributing to their continuing professional development and be members of the Australian Institute of Company Directors or the Governance Institute of Australia.
Desired Skills and Experience Qualifications
Centacare NENW is seeking applications from candidates who have executive or NED background, preferably from the New England North West area, with the skills and experience in one or more of the following areas:
Clinical - Extensive experience in clinical governance and/or working as a clinician in the healthcare/social services sector.Industry - Experience with the not-for-profit social services sector, ideally within an agency of the Catholic Church.Legal - Knowledge of relevant laws and regulatory frameworks applicable to a not-for-profit social services organisation.Financial - Ability to analyse key financial statements, critically assess economic performance and contribute to strategic financial planning.Experience in the following is also desirable:
Advocacy.Chairing a board or committee.Church governance and administration.In addition, all applicants must possess the following:
Catholic faith and mission or alignment with Catholic teachings, beliefs and values.Understanding of Director duties and responsibilities.Experience in or a well-developed knowledge of Board Governance and risk.Highly developed communication skills, including the ability to present reasoned arguments.Commitment to supporting the vulnerable and disadvantaged.Commitment and ability to participate in all Board activities.Strong interpersonal skills.Leadership skills.While ideally, nominees will come from the New England / North West area, highly suitable candidates from other regions will also be considered.Aboriginal and Torres Strait Islanders are encouraged to apply.
The Centacare NENW policy pays board directors' fees and expenses.
