We are seeking a highly experienced and commercially astute

Head of Legal & Company Secretary

to lead our legal and governance functions.This executive role offers an exciting opportunity to provide strategic legal guidance and corporate governance leadership, ensuring DBC's compliance with project documentation, regulatory frameworks, and operational requirements.Key Responsibilities

As Head of Legal & Company Secretary, you will provide expert legal advice across all areas of DBC's operations, including construction, corporate, commercial, and governance matters.
This involves reviewing, drafting, and negotiating a variety of contracts such as procurement, consultancy, IT, and leasing agreements.A key focus will be on developing strategies to mitigate legal risks while ensuring regulatory compliance with project documentation, laws, and approvals.
You will oversee external counsel engagements, manage legal budgets, and provide support on dispute resolution and litigation to protect DBC's interests.In your capacity as Company Secretary, you will ensure that board meetings and governance processes align with shareholder agreements and corporate requirements.
You will provide strategic guidance to the Board and executive leadership team, manage internal audits, and ensure adherence to statutory obligations, internal policies, and the DBC Code of Conduct.
Maintaining alignment with governance frameworks, including DBC's Delegated Authorities and Audit Policies, will be essential in this role.As a Leader and Collaborator, you will lead, mentor, and develop a high-performing legal team, fostering a collaborative and results-driven culture.
You will engage with internal and external stakeholders, including regulatory bodies, advisers, and consortium partners, building strong relationships to achieve strategic goals.
Additionally, you will support the CEO by providing accurate and timely reporting to the Board, committees, and key governance groups, ensuring alignment across all levels of the organisation.About You

You are an accomplished legal professional with extensive experience in both legal practice and corporate governance within large organisations.
Your background demonstrates expertise in managing complex legal issues, with the ability to provide strategic guidance in a dynamic project-based environment.Essential Qualifications and Experience

Bachelor of Laws (LLB) and admission to practice law in Australia, with a valid practising certificate.8-12 years of post-qualification experience, ideally in infrastructure, construction, or regulated industries.Proven experience in corporate governance, contract negotiation, and regulatory compliance.Expertise in managing legal risks and overseeing litigation.Familiarity with ASIC and ASX requirements is highly regarded.Key Skills and Attributes
