Deputy Company Secretary & Senior Legal CounselJob Description About the role
We are currently seeking a highly skilled governance professional to play a critical role in providing support and guidance on a wide range of corporate governance and regulatory compliance matters. Reporting to the Chief Legal Officer and Company Secretary, you will be responsible for providing legal advice on governance and corporate matters, as well as supporting the Company Secretary function to meet the organisation's corporate governance and regulatory requirements. Your key responsibilities will include:
Maintaining and uplifting as appropriate the Board governance framework including reviewing and updating policies, procedures, registers and other supporting documentationMonitoring the evolution of the corporate governance landscapeMaintaining the member registerAdvising on governance related mattersEnsuring statutory and regulatory complianceProviding company secretarial and governance support to the Board, Board Committee and Executive Management Committee including meeting scheduling, workplan management, agenda setting and taking minutesDrafting high quality papers and reportsAssisting with Board governance workplan activity including the Board performance review processes, Board skills analysis and the Board professional development programProviding support to DirectorsAssist with the delivery of an effective Annual General Meeting and other member meetings as requiredProvide company secretarial services and governance support for the subsidiaries of People First BankCompany Secretariat administration activityAd hoc governance projectsPromoting a sound risk culture and proactively managing risksUplifting corporate governance practices and identifying and implementing continuous improvementLeading one or more company secretary professionals About You
To be considered you will be a proactive legal professional with a minimum of six years' experience in a similar legal or governance role. Your expertise will be key in navigating complex regulatory frameworks and aligning governance practices with legal requirements.
You will possess:
Proven expertise in corporate governance and compliance, with strong legal acumen.Exceptional drafting, analytical, and negotiation skills, with the ability to manage high-level legal documentation and board materials.Tertiary qualifications in law, governance, or a related field.Significant experience in financial services or highly regulated industries (desirable).Demonstrated ability to lead and manage a team, with a focus on continuous improvement in governance and compliance practices.
