Values Integrity | Teamwork | Innovation | Respect | Passion | Accountability | Decisiveness About the role As a trusted advisor to the Board of Directors and senior management team, the Company Secretary will play a pivotal role in refining and enhancing governance processes and policies to facilitate seamless Board meetings and operations.
With a proactive and positive approach, they will offer constructive feedback and suggestions, and serve as a dependable sounding board, addressing issues before they arise in meetings.
Reporting to the Board, the Company Secretary will be responsible for: Board Support and Meeting Coordination: Notify Directors, manage records, distribute agendas, brief managers on action items, and coordinate and attend annual and general meetings to record minutes, with occasional travel required Compliance: Oversee compliance programs, ensure legislative and regulatory obligations are met, develop policies with key stakeholders, offer guidance on the Constitution, and advise on governance and Director liability Governance Administration: Maintain key governance registers, update policies and documentation, support Director inductions, manage Board software, and assist the Chair and Board as needed ACNC Responsibilities: Maintain the registered office, notify ACNC of changes, update Director and Secretary details, and lodge required reports and statements.

About you The successful Company Secretary will have: Excellent stakeholder management with the ability to build trusted relationships with the CEO and Board Extensive experience as a Company Secretary, overseeing all key responsibilities, including governance, compliance, and Board support Strong commitment to integrity, ethics, and professionalism, consistently upholding high standards in all actions and decisions Sound judgment, efficient planning, and prioritisation abilities, along with a proactive approach to handling competing work demands Outstanding communication skills, with the ability to clearly convey information, build trust, and nurture positive relationships with all levels of the organisation Experience working in For-Purpose organisations, with an understanding of ACNC reporting compliance Experience using Board Software portals (e.g.
Diligent or similar).
Highly desirable: Relevant qualifications, including AICD, law, or other postgraduate governance credentials Strong knowledge or experience within the Australian agriculture industry.
