Boasting annual revenue of $1.5 billion, BCE is a significant Not-for-Profit (NFP) entity governed by the Australian Charities and Not-for-Profit Commission Act and Canon Law.BCE seeks to appoint a Company Secretary to support its Executive Director, Executive Team, Catholic Education Council, and Archdiocesan committees through the delivery of high-level strategic support and exceptional legal and governance advice.Key role responsibilitiesOffer strategic legal and governance advice to the Executive Director, Executive Team and Catholic Education Council, ensuring alignment with BCE's strategic direction, policies, canon law, and civil law requirements.Build and maintain effective stakeholder relationships, fostering a culture of strong governance and driving high performance across Committees to ensure they achieve their obligations.Coordinate agendas and briefing materials for Executive Team and Catholic Education Council meetings to enable informed, effective decision-making to achieve the strategic direction and organisational priorities.Manage correspondence on behalf of the Executive Director with key stakeholders, including Archdiocesan committees, Non-State Schools Accreditation Board, ASIC, and the Australian Charities and Not-for-Profits Commission.Oversee the formal governance structures and schedules for Brisbane Catholic Education committees, ensuring compliance and operational efficiency and maintaining BCE delegations' policy and register.Provide full company secretariat support for senior governance groups, including scheduling, meeting preparation, and governance activities (e.g., BlueCard requirements, attestations, conflict of interest management).Support BCE committees with scheduling, membership management, and document review, alongside conducting annual member satisfaction surveys.Collaborate with and support the Executive Director, Catholic Education Council Chair, and committee members to meet governance and operational needs.About youAn experienced company secretary or compliance/governance adviser, who has worked in a complex large organisation and ideally possesses relevant tertiary qualifications. Your career demonstrates sound judgement, discretion and confidentiality pertaining to Council and sub-committee matters with exceptional organisational skills and executive influence to achieve organisational outcomes. Your knowledge of the corporation's law, governance regulations and ability to practically apply them mean you successfully ensure compliance in all areas.
