About the role

The Australian Psychology Accreditation Council (APAC) is seeking a Company Secretary (0.4 FTE or contractor) to join their team in a part-time or contract capacity. As the Company Secretary, you will play a crucial role in ensuring the organisation's compliance with legal and regulatory requirements, as well as providing strategic support to the Board and executive leadership. This is an excellent opportunity to contribute your expertise to a dynamic and impactful organisation based in the heart of Melbourne, VIC.
What you'll be doing Providing expert guidance and advice to the Board, sub-committees and APAC staff team on corporate governance mattersOverseeing the preparation and distribution of Board and committee meeting agendas, papers and minutes (supported by APAC staff)Ensuring compliance with all relevant legislation, regulations and APAC's constitution (ACNC, Corporations Act, ASIC, etc)Maintaining accurate and up-to-date company records, registers and filingsCoordinating the annual general meeting and other eventsAdvising on directors' duties, conflicts of interest and other governance-related mattersFacilitating director induction and trainingAssisting with the development and implementation of governance policies and proceduresProviding support and guidance to the APAC staff team on corporate secretarial mattersWhat we're looking for Experience (2+ years) as a Company Secretary or in a corporate secretarial role, ideally within a not-for-profit Strong understanding of corporate governance, relevant company law and regulatory requirementsExcellent written and verbal communication skills, with the ability to liaise effectively with stakeholders at all levelsProven ability to work independently and proactively, with a keen eye for detailTertiary qualifications in a relevant field, such as law, business or a professional company secretarial qualificationWhat we offer
