Supports the Board of Directors through assisting with the preparation and coordination of Board and Committee meeting materials and acts as a liaison between directors, management, and staff. Ensures board and committee meetings have reliable records of decisions and actions maintained through complete and accurate minutes when required. Advises and supports compliance activities and assists the business and the Board to achieve minimum accountabilities. Demonstrates consistent processes to place the Board in a strong position to defend directions and decisions. Supports the Manager Strategy, Governance and Risk as a representative of the Privacy and Freedom of Information Officer. Ensures the business is well positioned through the promotion of the Corporate Governance Framework. Remains up to date and responds to developments in governance across the industry. Key Responsibility Areas Promoting and supporting the operation of the Governance Framework in accordance with relevant legislation. Providing high-level administrative support to the organisation's directors, the Manager Strategy, Governance and Risk, and the Governance Coordinator. Preparing and coordinating meeting reports, materials, and arrangements for the Board and nominated Board committees. Supporting the Governance Coordinator in the development, implementation and maintenance of standards and procedures relevant to the governance function. Promoting good governance practices across the organisation. Maintaining governance registers and processes to ensure timely and accurate records of events. Providing support to the Manager Strategy, Governance and Risk in responding to Freedom of Information and Privacy requests. Ensuring staff awareness and understanding of the organisation's governance principles and procedures. Arranging Board affairs including travel, accommodation, and meeting arrangements. Maintaining a high level of confidentiality and privacy in respect of all corporation records. Organisational Relationships This role reports to the Governance Coordinator and liaises with all internal stakeholders, peers in water corporations or local government, government agencies, and members of the public.
Accountability and Extent of Authority The Governance Officer is accountable to the Governance Coordinator with a significant role in supporting the Board of Directors. Freedom to act is subject to regulations and policies, and regular supervision. Maintenance of the highest standard of confidentiality in accordance with the Victorian Public Sector Code of Conduct. Judgement and Decision Making Ability to exercise independence in fulfilling the requirements of the position within the bounds of Corporation policy and procedures. Demonstrated analytical and problem-solving skills. Ability to anticipate organisational needs and work autonomously. Specialist Skills and Knowledge Extensive experience in board meeting preparation, procedures, and protocols. A demonstrated understanding of good governance practices, preferably in the public sector. Excellent interpersonal communication and report writing skills. Well-developed computer skills encompassing the Microsoft Office suite and electronic document management systems. Understanding of the long-term goals of the functional unit and relevant policies. Demonstrated commitment to developing professional relationships with internal and external stakeholders. Strong understanding of confidentiality requirements. Management Skills Ability to manage time, set priorities, and plan work. Ability to achieve set objectives within the required timeframes. Understanding of personnel practices. Effective time management and setting of priorities. A flexible and adaptable approach to changing priorities. Professional demeanour and approach. Interpersonal Skills Excellent communication and presentational skills. Ability to liaise with counterparts in other organisations. Ability to work collaboratively as a member of a team. Ability to engage and influence stakeholders at all levels. Qualifications and Experience Experience in providing high-level support in a similar position, preferably to a board of management. Experience in a regulated public sector or corporate environment. A degree or diploma with some relevant experience, or lesser formal qualifications and substantial relevant experience.
