The business provides electronic design automation software and works with some of the most innovative technology companies in the world.The Role:The business is looking for an Assistant Company Secretary to support the listed entity in Australia, as well as the global subsidiaries. The candidate will report directly to the Global Group General Counsel. This is an excellent opportunity to join an expanding team and have the chance to work on a wide range of matters. This permanent full-time position supports flexible and hybrid working arrangements.Key Responsibilities:Ensure Board, subsidiary and committee meetings are run effectively and efficientlyLiaising with share registry and prepare draft communications to shareholdersRegulatory/Statutory filings and liaising with regulatorsSupporting the delivery of the Annual General MeetingManage interim and final dividend payment processesLodgement of approved market announcementsMaintaining company secretariat and statutory recordsMaintaining the policy suite and recommending updates as well as understanding operational complianceExperience & Qualifications:Minimum of 4 years prior Company Secretariat experience in an ASX-listed companyExperience managing Board and committee calendarsPrior experience managing key events and activities for listed companies including annual general meetings, half-year and full-year results announcements, dividend paymentsKnowledge of company secretariat practices, Corporations Law, Listing Rules and the Corporate Governance Council's Corporate Governance Principles and RecommendationsGraduate Diploma of Applied Corporate GovernanceTertiary qualifications in law or other business related disciplineExperience working with Diligent Board Paper applicationExperience in law and/or financial marketsPlease send your resume or email Aislyn Jennings, Executive Search Partner, at ****** for a confidential discussion call 0432 000 ***.
