OUR ROLE: We are seeking a Corporate Secretarial Manager for a key role within our growing team. You will be the primary go-to point for all corporate secretarial matters, responsible for administering and lodgement of all changes across a diverse range of clients, and the preparation of ASIC corporate compliance documentation.
The Corporate Secretarial Manager reports to the General Manager, and works closely with the firm's Partners and the wider team to maintain client corporate records, client ASIC reporting requirements, and the secretarial work in support of these tasks. You will be responsible for overseeing and improving the quality and consistency of the systems, processes and methodologies in place.
Day to day, your role will involve: Company Registration and Deregistration: Registering company details as provided, and deregistering companies as required, following specific advice received. May include registration of foreign entities and foreign subsidiaries. Trust and Business Name Management: Establishing various trusts such as Discretionary Trusts, Unit Trusts, and Hybrid Trusts, and registering business names. Company and Director Changes: Lodging documents and forms related to changes in company and director details, including addresses, names, appointments, and resignations of directors and secretaries. Share Management: Updating the company records, preparing, and lodging the documents for share capital allotment or reduction, share transfers, share splits, cancellation of shares, and share buyback. Record Keeping: Maintaining company registers and minutes books, and updating and backfilling missing information from company and share registers. Regulatory Compliance and Reporting: Preparing and lodging ASIC returns and statutory minutes, undertaking company searches, and preparing annual statements. Liaising with ASIC as required. Database Management: Overseeing the integrity of the corporate database, including the NOWINFINITY database, assessing and tracking corporate registers, and generating reports through NOWINFINITY as necessary. Your role might also involve: Stamping and Financial Transactions: Handling stamping and duty payments related to state authorities. Database and Record Maintenance: Updating client details in the company's database to ensure consistency with ASIC's database. Document Management: Filing and scanning documents to maintain organised records. You will ideally have: 5-7 years' broad Australian experience in the industry. Expertise in corporate compliance, possessing a thorough knowledge of corporate compliance and regulations. Strong previous experience gained within a chartered environment, and strong familiarity with professional standards and practices. Prior experience working in a similar role, showcasing a track record of relevant expertise and accomplishments. Technical proficiency in NOWINFINITY for company secretarial duties and competent working knowledge of MS Office and Outlook applications. Meticulous attention to detail, high degree of organisational and time management skills, with the ability to manage multiple tasks and competing demands efficiently. Excellent communication and interpersonal skills, including effective listening and collaborative skills, enabling teamwork and clear communication.
