What's the role?HERE is looking for an experienced, complex commercial sales transactions lawyer based in Melbourne. As Senior Legal Counsel, you will be the central point of contact for legal support for HERE's sales organization on complex technology and IP related transactions. You will initially focus on the Oceania sub-region, but you may also be assigned to support other APAC sub-regions depending on business requirements. Your role will include drafting and negotiation of complex agreements with opposing counsel, supporting business clients, and providing strategic, solution-oriented practical advice. You should be comfortable in a fast-paced environment and effectively collaborate and communicate with internal business clients. You will be a member of the APAC Legal Team, reporting to the Head of APAC Sales Legal based in Japan. You will also be a member of the broader Global Legal Team, which is comprised of highly qualified and experienced lawyers located around the world.
Your main responsibilities include:
Advise senior management and cross-functional teams regarding HERE's operations in Oceania and possibly other regions and time zones, highlighting potential legal risks and compliance obligations.Negotiate and draft a wide variety of complex commercial agreements, including license agreements, RFP/tender responses, professional services agreements, and respond to a diverse range of legal requests from HERE's business units spanning corporate, commercial, IP licensing and privacy.Work independently with HERE's internal business clients, supporting end-to-end negotiations and execution of contracts.Collaborate with both business and legal colleagues in the APAC and Global Legal Teams on a variety of matters, including conducting training for the business on legal and compliance matters as required and developing training materials, playbooks, and agreement templates as required.Provide support for other legal projects as needed.Who are you?You are a strong candidate for this role if you possess the following skills, competencies and experience:
You have a LLB, JD, or equivalent qualification and strong academic credentials from a top tier law school in Australia, the US, the UK or other highly recognized jurisdictions.You have a minimum of 8 years' legal experience, with experience at a top-tier international law firm or in-house experience with a global company.Strong and validated drafting and negotiation skills.Demonstrated experience advising clients on a wide range of subject matters, including corporate, commercial, IP licensing, privacy and regulatory matters.Excellent organizational, communication, interpersonal and management skills, with proven ability to manage many simultaneous contract negotiations within required deadlines.Ability to work well independently as well as in a cross-functional team and build rapport and trust with internal clients and external customers.A positive and solutions-oriented attitude with the ability to provide practical advice in a changing work environment.A keen interest in technology, mapping, and location services (or interest in learning about it).Some flexibility in work hours, to accommodate time zones around the world.Willing to travel as and when required.Strong collaborative skills.HERE is an equal opportunity employer.
