JOB DESCRIPTION SUMMARY This role will report into the Global Senior Managing Director of Investments, Legal and Compliance at Greystar and will work closely with the APAC Executive Leadership Team, providing advice on capital transactions and fund structuring. The role will manage the relationship and budget with external law firms, briefing out matters where appropriate. Our rapidly scaling up organisation is looking for a Senior Director of Legal to further develop the in-house legal function whilst supporting Greystar's Global Legal Team in establishing and implementing best practices, processes and policies within the legal and corporate governance area to support the execution of the Company's global investment management strategy.
JOB DESCRIPTION Responsibilities Provide legal advice and guidance on transactional activities related to proposed investment management vehicle formations, including commingled investment funds, club deals and joint venture transactions. Prepare, review and/or negotiate contracts, agreements and other legal documentation required for investment and operations activities of Greystar's vertically integrated real estate business in the Asia-Pacific region, including term sheets, offering documents, limited partnership agreements, subscription agreements, side letters, investment management agreements, development agreements and property management agreements.Oversee related transactional work, including mergers & acquisitions, real estate acquisitions and dispositions, financings, debt investments, development transactions and property-level operational matters.Spearhead structuring efforts for new investment management vehicles, including actively coordinating with Portfolio Management, Investor Relations, Tax, Finance and Compliance colleagues to propose practical solutions.Review key legal agreements and precedent fully to serve as an expert on documentation nuances, interplay and complexities.Exercise business judgment to drive investor negotiations to mutually acceptable conclusions.Manage external counsel and other external advisors and service providers and review and track costs and expenses against budgets.Coordinate and collaborate with the Global Legal Team on initiatives to develop best practices and ensure consistency related to Greystar investor negotiations, operating policies, deal terms, agreements and other practices globally.Stay abreast of emerging issues and market practices in the private equity real estate industry, provide updates and advisories to executive and senior leaders and recommend, develop and implement policies, practices and other strategies to ensure compliance and mitigate or reduce risk.Qualifications and Experience Bachelor of Laws degree and preferably Bachelor of Commerce, Economics or Finance highly desirable law and qualification to practice in a relevant jurisdiction (Singapore, Australia, Hong Kong or United Kingdom preferred).10+ years of experience in financial services law and/or in-house legal department, including experience related to the private equity and investment management area.Experience in property fund management, capital raising and real estate.Highly skilled in overseeing legal processes, term negotiations and capital raising.Advanced negotiating experience with global institutional investors, including sovereign wealth funds, pension plans, insurance companies and family offices.Ability to quickly assess complex legal issues and recommend and implement strategies, decisions and solutions.Proficient in financial analysis, tax and regulatory rules impacting deal and investment fund structuring.Demonstrated skills in interpersonal communication to establish and build internal and external relationships, manage vendors and service providers and effectively interact with executives, senior-level management, investors and other team members. #J-18808-Ljbffr
