About the Role The Senior Corporate Counsel will play a critical role in providing high-quality legal advice primarily to achieve commercial objectives across Sandfire.
Reporting directly to the Chief Legal and Compliance Officer, this position will be a senior member of the legal team.
The Senior Corporate Counsel will collaborate with group functional lead teams and provide strategic legal advice.
The role will need to work autonomously, managing their own matters and engaging directly with key stakeholders Responsibilities (Include but are not limited to): Identify proactive solutions that will help eliminate or mitigate legal risks and achieve commercial objectives.
Areas of legal support will include: Botswana operations and acting as the legal interface between Botswana and Perth teams.
Legal interface between Spain and Perth where required.
Exploration and BD initiatives including potential M&A and divestment.
Corporate including governance and company secretariat (e.g.
AGM preparation, ASX reporting and disclosures).
Environment, Social and Governance (ESG).
Heritage, native title and land tenure Support the drafting and maintenance of necessary policies, standards and procedures and supporting forms and precedents.
Support performance and other reporting to the Sandfire Executive and Leadership teams, Board, and Board sub-committees.
Understand and advise on regulatory change which is relevant to Sandfire's operations in Australia and its group compliance frameworks.
Support engagement and liaison activities with regulators and authorities.
Support the building of operational awareness of the legal and compliance framework through training support and communication.
Undertake and support assurance and monitoring activities in relation to Legal and Compliance.
Support the Sandfire Legal Team through advice and, where applicable, development, mentoring and coaching.
Engage and brief specialist external legal advice where required, monitoring delivery and manage costs.
Certifications Current unrestricted legal practising certificate to practise law in Western Australia Degree qualifications in law Post-graduate qualifications or certification (desirable) About You 10 years relevant legal experience, private practice experience preferred.
In house experience at a listed company preferably with international operations Experience in the following specialist areas of law - corporate law, ESG, mining, native title, BD Excellent commercial contract drafting, review and negotiation skills.
Prior experience managing a legal budget including external spend and management of external counsel engagements.
Ability to contribute to the development of legal strategies and internal training on important legal issues.
Ability to interpret and apply policy and legislation, and address regulatory change Strong analytical skills and experience in interrogating data to provide actionable management insights Benefits Attractive, market-competitive remuneration package.
