As the Senior Associate - Corporate M&A, you will play a pivotal role in leading high-profile M&A transactions for our client. Leveraging your expertise in corporate law and M&A transactions, you will advise clients on complex legal issues and navigate them through intricate deal structures.
Key Responsibilities: Lead and manage M&A transactions from inception to completion, including due diligence, negotiation, and documentation. Advise clients on corporate governance matters, transaction structuring, and regulatory compliance. Conduct comprehensive legal research and analysis to identify risks and opportunities associated with M&A transactions. Draft and review transactional documents, including merger agreements, share purchase agreements, and disclosure schedules. Coordinate and liaise with internal and external stakeholders, including clients, counterparties, and regulatory authorities. Provide strategic advice to clients on deal negotiations, risk management, and dispute resolution. Manage junior associates and legal teams involved in M&A transactions, providing guidance and support as needed. Assist in business development activities, including client pitches, proposals, and presentations. Stay updated on legal and market developments impacting M&A transactions and provide thought leadership within the firm. Collaborate with cross-functional teams, including tax, finance, and regulatory specialists, to deliver integrated legal solutions. Represent the firm at industry events, conferences, and seminars to enhance the firm's visibility and reputation in the market. Support knowledge management initiatives by sharing insights, best practices, and lessons learned from M&A transactions. Participate in training and professional development programmes to enhance technical skills and legal expertise. Uphold the firm's values and professional standards in all interactions and engagements with clients and colleagues. Contribute to a positive and inclusive work culture that fosters collaboration, innovation, and excellence. Qualifications Required: Bachelor's degree in Law from a recognised institution. Admission to practice as a solicitor or barrister in the relevant jurisdiction. Minimum of 5+ years of post-admission experience in corporate law and M&A transactions. Demonstrated experience leading M&A transactions, including complex cross-border deals. Strong knowledge of corporate governance principles, securities regulations, and commercial law. Excellent drafting, negotiation, and communication skills. Person Requirements: Strategic thinker with a commercial mindset and a focus on delivering value to clients.
