About the role and team We have an opportunity for an experienced corporate/M&A lawyer with at least 5 years of post-admission experience to join our growing Corporate & Commercial section in Sydney working with highly regarded partners.
This is a fantastic hands-on corporate & commercial role, with significant learning, development and progression opportunities, and the opportunity to work with interesting clients. Key responsibilities The successful candidate will be involved in a range of matters, including:
acting on mergers and acquisitions ranging from $1M in value through to values exceeding $100M; advising venture capital funds and targets of venture capital funds on investments including due diligence and negotiation; drafting documentation including joint venture and shareholder agreements, security holder agreements and commercial contracts; advising clients on complex capital raising transactions for entities raising capital and for investors; providing advice pertaining to corporate structure; advising private and public sector clients on corporate governance and compliance issues; a range of general corporate and commercial matters. Skills and experience We are keen to hear from candidates with the following skills and experience:
a minimum of 5 years of post-admission experience gained in a corporate & commercial practice; experience advising on key matters relating to corporate/M&A including due diligence, drafting & negotiating acquisition documents and regulatory approvals including FIRB; experience with corporate restructuring and corporate governance; some experience in licensing and general contracting arrangements; highly developed legal and research skills; and experience with a top-tier, international or large national firm preferred.
