Please note, this is a limited tenure position until 31st March 2026.Key Responsibilities:Provide accurate advice on general company secretarial practices and governance matters to Executive Management, and in consultation with the Company Secretary, to the Board and its committees.Responsible for the end-to-end planning, coordination and facilitation of meetings of the VicTrack Board and its committees including preparing draft agendas; coordinating production, review and distribution of papers; drafting accurate minutes; preparation of action registers post meetings and monitoring the close of action items.Coordinating the use of VicTrack's Board Platform (Diligent) and ensuring currency of all material on the system.Responding to technical, procedural, policy and logistical queries.Maintain the Board and Committee forward program.Manage statutory corporate filings.Support business wide or departmental projects as and when required.Provide education support within the business on general company secretarial practices and governance.Qualifications:Hold a formal qualification in either law, commerce or other relevant discipline.Have completed, or be working towards completion of, the Governance Institutes' Graduate Diploma in Applied Corporate Governance or equivalent qualification.Knowledge & Experience:Prior extensive experience in an assistant company secretary or like role.The ability to communicate and work with all levels, particularly at the Board and Executive level, with a significant level of independence, collaboration and professionalism.An appreciation of the need for a high level of discretion when dealing with confidential and sensitive information and exhibits diplomacy and tact.Knowledge of Corporations Act 2001 and company reporting requirements.Knowledge of the governance and company reporting requirements of State based entities (desirable).Experience with interpreting constituent documentation such as constitutions and charters.Experience in driving the delivery of project work.Experience with administering and operating Board portals, with experience with Diligent highly desirable.A general understanding of compliance and risk management processes.To ApplyIf you are interested in this exciting opportunity with us, please click apply and submit your resume in PDF format only.
