About the Role The Principal, Compliance Legal will provide anti-corruption and trade controls compliance-related legal advice, oversight and support principally across (1) BHP's Portfolio, Strategy & Development, Minerals Exploration, BHP Ventures and BHP Xplor transactions and opportunities globally; and (2) as needed, BHP's Minerals Australia asset groups, including working closely with Corporate Affairs (including Indigenous Engagement) and Legal.
Delivers legal compliance oversight for BHP's Portfolio, Strategy & Development, Minerals Exploration, BHP Ventures and BHP Xplor transactions and opportunities globally, and when required Minerals Australia asset groups, providing day-to-day advice and counsel to stakeholders on risks and mitigations.
Provides advice and input on relevant risk assessments and framework reviews, for compliance with anti-bribery and trade controls laws to ensure that relevant risks are identified and appropriately managed.
Supports decision making in relation to proposed commercial transactions by engaging with stakeholders, identifying compliance touchpoints, and developing, advising on and assisting with risk mitigation measures.
Works with Compliance colleagues to ensure sufficient oversight of high risk third parties by identifying and evaluating relevant relationships and proposed transactions, and advising on and implementing risk mitigation measures.
Represents BHP in negotiations with third parties regarding compliance requirements, considerations and agreement provisions, when required.
Maintains BHP's whistleblower protection framework in accordance with Compliance operating model routines.
Helps develop and deliver Compliance stakeholder engagement and tailored training to raise awareness of anti-corruption and trade controls risks and obligations; and helps develop and deliver whistleblower protection training to key stakeholders.
Assists with continuous monitoring of compliance risks and controls by conducting or supporting compliance audits on high risk third parties and overseeing implementation of audit recommendations.
About You Law degree (or equivalent) with right to practise in Australia.
Minimum 10 years' post admission experience (first tier national or international law firm and/or multinational corporation and/or government) with strong experience in advising/representing clients/government in Foreign Corrupt Practices Act (FCPA) compliance, enforcement issues and white-collar fraud, and in conducting investigations.
Experience working with business stakeholders domestically and internationally, up to and including senior executive level.
Experience in providing fit-for-purpose advice on high risk and complex transactions, including M&A transactions.
Availability for domestic and international travel, as needed.
