Job Description Primary Duties/Responsibilities Co-ordinating IAL (Invesco Australia Limited) and IAMAH (Invesco Asset Management Australia Holdings) board meetings and Product Committee meetings – drafting agendas, taking minutes and preparing board/committee packs. Co-ordination of Board and Executive Committee circulating resolutions. Maintaining meeting schedule and director/committee member scheduling. Preparing and lodging statutory filings such as ASIC/ASX lodgments, including board and Responsible Entity documentation and fund filings. Maintain filings calendar. Maintaining corporate and fund registers. Conducting legal research and staying abreast of relevant laws, regulations, and industry developments and providing advice as required. Assist in the management of regulatory change projects. Assist with the preparation and presentation of relevant legal educational programs and materials. Support the greater APAC legal team in regional projects and by providing advice on local law and regulation. Maintaining the Corporate Governance Program and ensuring all corporate governance processes, forms and templates are documented and up to date. Manage the document execution and approvals process. Maintain document and other legal registers. Respond to document requests, prepare agreements as required and record key obligations. Manage the class actions process including obtaining trade data, communicating with lawyers and funders on the progress of matters, documentation and filing, class action committee and maintenance of class action register. Co-ordination with external and internal auditors for information/documentation requests. Assisting with archiving, file management, legal subscriptions, business planning and management of accounts payable. Providing general legal department support and administration as required. Formal Education Legal qualification with a preference to be admitted (or eligible to be admitted) as a Solicitor in Victoria. Work Experience/Knowledge/competencies At least 1-2 years corporate commercial legal experience or a comparable financial services or asset management institution. Experience in reviewing and understanding legal agreements and regulations. Experience in performing or possessing an understanding of Company Secretary duties and processes would be helpful. Proficient knowledge of Microsoft Office. Basic understanding of the financial market/investment management industry would be helpful or a willingness to learn.
