Independent directors – Darwin, Katherine, Tennant Creek or Alice SpringsPositions available in Darwin, Katherine, Tennant Creek or Alice SpringsThe North Australian Aboriginal Justice Agency (Ltd) (NAAJA) has for 52 years delivered high quality and culturally appropriate legal services to Aboriginal people across the Northern Territory. NAAJA is the largest legal service in the Northern Territory with over 200 employees in Darwin, Katherine, Tennant Creek and Alice Springs. NAAJA is a charitable company limited by guarantee incorporated under the Corporations Act 2001.In addition to our core legal practice in criminal and civil law, NAAJA provides law and justice related services that aim to ensure Aboriginal people have real access to justice. NAAJA is funded by the Northern Territory Attorney-General's Department and the National Indigenous Australians Agency (NIAA) to provide the following services to Aboriginal people and their families in the Northern Territory:criminal law advice and representationcivil & family law servicescommunity legal educationnight patrol community legal educationIndigenous prisoner throughcare support programcustody notification servicefamily support services.About the roleNAAJA is seeking three independent directors with skills and qualifications in financial management or accounting, law or corporate governance to support the governance and strategic direction of the company.The term of appointment of independent directors will be for 1-3 years. Directors' meetings are held approximately 10times per year in either Darwin, Katherine or Alice Springs and via Teams.Remuneration of between $6,000 – $12,000 per annum is payable for the role.Applicants will hold professional experience and qualifications in corporate governance, financial management, law or a related field.ResponsibilitiesPromote and uphold principles of good governanceEnsure the organisation meets its legal, regulatory, and fiduciary obligations under the Corporations Act 2001 (Cth)Provide leadership and direction in the management of the companyAttend all board meetings and committee meetingsSafeguard the financial stability and financial management of the company, ensuring its solvencyBe responsible for the overall strategic direction of the company and management of its operationsMonitor the delivery of the company's funded programs and ensure compliance with the company's funding agreementsMonitor and assess the performance of the CEO.Key selection criteriaMinimum 3 years' experience as a director of an Australian company, governed by the Corporations Act 2001Demonstrated experience with legal compliance and governance, including legal, ethical and fiduciary responsibilitiesDemonstrated financial literacy, including an ability to read and understand complex financial statements and reportsThe ability to review strategy and contribute to effective decision makingExperience working with and assisting Aboriginal people in a culturally appropriate wayLegal experience and qualifications highly desirableDemonstrated ability to be transparent and act with integrity and independenceA preparedness to question, challenge and critique, and a willingness to understand and to commit to the highest standards of governanceBe a person of high repute that at all times acts ethically.How to applyIf you can contribute to NAAJA's charitable aims and objectives of assisting some of the most disadvantaged people in our community, please send a covering letter and CV of no more than three pages to ****** .
