Assistant Company Secretary & Governance Advisor - ASX Listed Financial Services The role of Assistant Company Secretary and Governance Advisor is to provide high-quality Corporate Governance and Company Secretarial support to this leading ASX Listed Financial Services organisation that is going through substantial growth.
Reporting into the Company Secretary, you will be part of a high-performing team.
Open to a Sydney or Melbourne candidate.
Key responsibilities: Working with the Company Secretary, support the effective delivery of Company Secretarial services for the Board, Audit Committee, Risk Committee, People, Culture and Remuneration Committee, and Nominations Committee and internal Executive Committees. Prepare agendas, communicate Board paper requirements and deadlines, and review papers prior to submission to the CEO to ensure high-quality standards are met. Attend meetings as requested by the Company Secretary and record minutes and actions. Prepare a calendar of meetings and establish and maintain a timetable of Board and Committee actions required during the year. Review Board and Committee Charters. Induction of Directors and arranging briefings on matters related to Corporate Governance and duties of the Board. Maintain registers and retain records related to the Board and Directors. Monitor Directors' standing interests, share trading, and prepare related reporting. Assist with the preparation of the Annual Report and Corporate Governance Statement. Assist with preparation of the Notice of Meeting and other governance aspects of the Annual General Meeting. Advise on Corporate Governance best practice and support an effective corporate governance framework, including by developing charters, policies, and procedures. Prepare and lodge timely and accurate corporate regulatory filings, including ASX lodgements and ASIC filings. Qualifications & experience 2 years' + Corporate Secretariat experience with ASX Listing Rules, ASIC compliance, and the Corporations Act. GIA, AICD, or similar qualification. Proficient user of Diligent Boards essential. Ability to manage and administer multiple online platforms to perform key responsibilities, such as ASX Online, Diligent Entities, and proxy governance portals.
