About the role We are currently seeking a highly skilled governance professional to play a critical role in providing support and guidance on a wide range of corporate governance and regulatory compliance matters.
Reporting the Chief Legal Officer and Company Secretary, you will support the Company Secretary function to meet the organisation's corporate governance and regulatory requirements.
Your key responsibilities will include: Maintaining and uplifting as appropriate the Board governance framework including reviewing and updating policies, procedures, registers and other supporting documentation Monitoring the evolution of the corporate governance landscape Maintaining the member register Advising on governance related matters Ensuring statutory and regulatory compliance Providing company secretarial and governance support to the Board, Board Committee and Executive Management Committee including meeting scheduling, workplan management, agenda setting and taking minutes Drafting high quality papers and reports Assisting with Board governance workplan activity including the Board performance review processes, Board skills analysis and the Board professional development program Providing support to Directors Assist with the delivery of an effective Annual General Meeting and other member meetings as required Provide company secretarial services and governance support for the subsidiaries of People First Bank Company Secretariat administration activity Ad hoc governance projects Promoting a sound risk culture and proactively managing risks Uplifting corporate governance practices and identifying and implementing continuous improvement Leading one or more company secretary professionals About you To be considered, you'll be a proactive professional with a minimum six years' experience in a similar position.
Your expertise will be instrumental in assisting the organisation to navigate complex regulatory frameworks and achieve key strategic objectives.
