Salary: $140,000 - $190,000 DOE (Open to negotiate)

Our client is a specialised boutique firm that works in the areas of corporate and commercial space. They have many high-end clientele and have strong partnerships with many leading companies and personalities. With their main office in Brisbane and second in Melbourne they are seeking to expand their experienced team by adding an experienced Corporate Lawyer to the team. They provide first class legal support to their clients in their commercial goals. They have proven success in advising clients in mergers, acquisitions and divestments of Australian and cross jurisdictional business interests, through both asset and share sale processes. Our client has a significant large asset procurement, employment and general commercial contract drafting experience. They have industry experience in hospitality, retail, fitness, transportation, rail, fintech, sports, manufacturing and many others.
About the role:
Our client seeks a 7-10 year PAE Corporate M&A Lawyer to join their growing boutique practice. They seek an individual who is an expert in their field and have the ability to perform in their role as well as mentoring Junior team members.
Client Advising: Provide expert legal advice to a diverse range of corporate clients on matters such as business structuring, regulatory compliance, and corporate governance.
Contract Drafting and Negotiation: Draft, review, and negotiate contracts and agreements for clients, including commercial contracts, employment agreements, and partnership arrangements.
Mergers and Acquisitions: Manage and advise on mergers, acquisitions, and other significant business transactions, conducting due diligence, drafting transaction documents, and guiding clients through the entire process.
Corporate Structuring: Assist clients in choosing the most advantageous legal structure for their businesses, whether it's a corporation, partnership, LLC, or other entity types.
Regulatory Compliance: Ensure clients comply with industry-specific regulations and government requirements, advising on best practices and helping to implement compliance programs.
Dispute Resolution and Litigation Support: Represent clients in corporate disputes, including shareholder disputes, breach of contract cases, and other commercial litigation, often working in collaboration with the firm's litigation team.
Intellectual Property Management: Advise clients on protecting their intellectual property rights, including trademarks, patents, and copyrights, and handle related legal matters.
Corporate Finance and Securities Law: Guide clients through corporate finance transactions, including securities offerings, venture capital investments, and private equity deals, ensuring compliance with securities regulations.
Cross-Border Transactions: Provide legal advice on international business transactions, understanding and navigating the legal complexities of cross-border mergers, acquisitions, and commercial agreements.
Due Diligence: Conduct thorough due diligence investigations for clients, identifying potential legal risks and liabilities in business transactions and advising on mitigation strategies.
Corporate Governance: Advise clients on corporate governance issues, helping them establish and maintain effective governance frameworks, including board structure, shareholder rights, and compliance with regulatory obligations.
Client Relationship Management: Build and maintain strong relationships with clients, understanding their business needs and providing tailored legal solutions that align with their objectives.
Legal Research and Analysis: Conduct in-depth legal research on complex issues related to corporate law, providing clients with well-informed legal opinions and strategies.
Business Development: Actively participate in business development activities, including networking, attending industry events, and contributing to the firm's marketing efforts to attract new clients.
Ethical and Professional Standards: Uphold the highest ethical and professional standards, ensuring all legal work is conducted with integrity, confidentiality, and in the best interests of the client.
