As we continue to grow, we are seeking a highly organised, motivated, and detail-oriented individual to take on the key role of Company Secretary. This is a fantastic opportunity for someone passionate about governance and the exciting work we do at the intersection of space and technology.
Role Overview
The Company Secretary is responsible for ensuring that the board of directors operates smoothly and in accordance with statutory and regulatory requirements. The role requires a meticulous individual who can maintain corporate records, manage board meetings, and ensure compliance with governance frameworks.
Key Responsibilities:
Provide administrative support to the Board, including scheduling meetings, preparing agendas, and distributing materials.Ensure the organization complies with its statutory and regulatory obligations under the Corporations Act and other relevant legislation.Assist with the review of legal documents including the provision of instructions to lawyers as and when required.Keep and maintain accurate and up-to-date records, including minutes, resolutions, and other governance documents.Act as the primary point of contact between the board of directors and the executive team, facilitating clear and efficient communication.Ensure timely filings of statutory forms, returns, and other necessary documentation with regulatory authorities.Monitor changes in relevant legislation and regulatory environments and provide advice on potential impacts on the organisation.Oversee the organisation's risk management and compliance frameworks, ensuring best practice governance policies.Assist in organising and coordinating the Annual General Meeting (AGM), including preparing notices, reports, and other necessary documentation.Skills and Experience:
Proven experience in a similar role, ideally within a not-for-profit or corporate governance environment.Strong knowledge of governance practices and corporate compliance requirements in Australia.High attention to detail and the ability to manage confidential information with discretion.Excellent organisational skills, with the ability to manage multiple tasks and meet deadlines.Strong written and verbal communication skills.A degree in Law, Business Administration, or Governance would be highly regarded.What We Offer:
