Our broad based business relationships and contacts assist in the capital raising process, governance, board management, regulatory compliance, project due diligence and investigation. Our core business includes the provision of Company Secretarial Services to listed public companies on a contracted basis supported by preparation of statutory financial reports, quarterly cashflow reports, management financial information (XERO) and the management of the audit process.Job Summary: We are seeking a highly organised and detail-oriented Company Secretary to oversee and ensure compliance with corporate governance regulations and ASX Listing Rules. The ideal candidate will be highly organised and manage work flow to ensure reporting and lodgement deadlines are met without stress.Key Responsibilities:Maintain client companies compliance with ASX listing rules;Maintain the company's statutory registers and ensure compliance with legal requirements;Prepare agendas, attend board meetings, and record accurate minutes of meetings;Advise the board on governance matters, regulatory changes, and best practices;Facilitate communication between the board of directors and shareholders;Manage the filing of necessary documents with regulatory authorities, including annual returns and financial statements;Assist in the preparation of corporate governance policies and procedures;Coordinate the company's annual general meetings (AGMs) and other shareholder meetings;Ensure compliance with relevant laws and regulations, including corporate law, securities law, and company policies;Provide guidance on corporate matters, including mergers, acquisitions, and corporate restructuring;Support the board in evaluating its performance and ensuring continuous improvement.Qualifications:Bachelor's degree in Law, Business Administration, or a related field; professional qualification (e.g., Chartered Secretary) preferred.Proven experience as a company secretary or in a similar role within a corporate environment.Strong knowledge of corporate governance principles and regulatory requirements.Excellent organisational and time-management skills.Strong attention to detail and analytical abilities.Effective communication skills, both written and verbal.Ability to maintain confidentiality and exercise discretion.Proficient in Microsoft Office Suite and corporate governance software.How to Apply: Interested candidates should click the link below to apply.
