Current Opportunity  Reporting to the Chief Legal Officer and Company Secretary, the Assistant Company Secretary will play a critical role in ensuring regulatory compliance and maintaining high standards of corporate governance.
You will support the Chief Legal Officer and Company Secretary in managing Board and Committee activities including attending Board meetings and preparing relevant documents.
You will ensure the alignment of governance framework with Senex's strategic objectives and values.
In addition, you will provide assistance in managing Senex's insurance arrangements and be the main contact with Senex's Insurance Brokers.
Key accountabilities willl include: Organising board meetings and committee meetings, preparing agendas, coordinating production of, and distributing, papers; taking accurate minutes; preparing action registers following meetings, liaising with owners of various action items, and monitoring progress against action items Supporting the board with corporate governance best practices and regulatory requirements Managing the Board and Shareholder Circular Resolution process as required Coordinating use of the Board Platform (Diligent) and ensuring currency of all material on the system Managing share capital, including issuances of shares Ensuring completion and lodgement of statutory forms/returns and reporting under ASIC, the Australian Corporations Act, and other relevant legislation Reviewing the annual and quarterly reporting documents and ensuring they comply with ASIC, the Australian Corporations Act, and other relevant legislation.
Providing support for Senex's insurance renewal process and managing insurance notifications and claims.
About You To be successful in this role, ideally you will hold a qualification with Governance Institute of Australia, AICD or similar.
You will have a proven track record in a similar role and experience in corporate governance, compliance and risk management, comfortable dealing with regulatory bodies and having oversight of share registers.
In addition, you will have: Strong relationship skills, particularly at Executive and Board level combined with a highly developed verbal and written communication skillset Demonstrable experience in growth and transition within a corporate governance or legal environment would be highly regarded Commercial acumen and understanding of business drivers for the production of meaningful minutes High level of professionalism, understanding the importance of ethical practices and confidentiality Ability to plan, prioritise and organise workload effectively, while adhering to quality standards and procedures to deliver production targets and program goals Intermediate to Advanced skills in Microsoft, Adobe, and SharePoint applications Have a pro-active attitude and the ability to be innovative and use initiative when problem solving and decision making.
