Working closely with the Group Company Secretary, Subsidiaries Team Lead, Subsidiaries Coordinator, Legal team and business functions, your role will include acting as company secretary of Woodside's subsidiary companies and ensuring that corporate compliance and governance requirements are met.You will also provide legal support in relation to general corporate legal matters, and board and company secretariat matters involving Woodside group entities, including registered branches.Duties & Responsibilities:Provide company secretariat services for Woodside group entities, including registered branchesEnsure that Woodside group entities satisfy annual corporate compliance and governance requirements in accordance with their governing documents and the Corporations Act (or applicable foreign legislation)Ensure that Woodside group entities comply with Woodside's internal corporate governance policies and proceduresProvide company secretarial services to Woodside group entity board meetings as requiredManage and oversee foreign legal advisers and company secretarial service providersProvide Secretariat and legal support for specific ad hoc projects as required, e.g., AGM, annual reporting, acquisitions, capital raising, etc.Provide corporate legal support for ad hoc mattersProvide general support for Secretariat related activities as required, including incorporating new entities and assisting with the liquidation/deregistration of dormant entitiesDevelop and update internal policies and procedures as needs are identifiedMaintain the statutory records of Woodside group entities, including through Diligent EntitiesSkills & Experience:Qualified corporate lawyer with at least four years' corporate legal experienceKnowledge of Corporations Act and ASX Listing RulesMember of the Governance Institute of Australia or similar, or willing to undertake relevant studiesExceptional attention to detail and highly effective organisational and time management skillsAbility to manage a high-volume workload with competing deadlines and efficiently deliver business-focused legal adviceExcellent communication and influencing skills and ability to build collaborative relationshipsExcellent stakeholder engagement and management skillsAdmitted to practice in Western Australia or eligibility to be admitted to practice in Western AustraliaIf you think you can do this job but don't meet all the criteria, that's OK!
