As a Governance Officer, you will assist in delivering high-quality governance services across the RAC Group's corporate structure. You'll play a key role in supporting Council, Board, and committee activities while ensuring compliance with governance best practices and regulatory requirements. This role offers a unique opportunity to contribute to RAC's purpose of driving positive outcomes for our members and the community.
Key Responsibilities Compile agendas and supporting papers for Council, Board, and committee meetings, ensuring timely distribution. Prepare draft minutes and Chair's Reports for governance meetings. Track and coordinate follow-up actions with relevant management. Assist in organising the Club's Annual General Meeting and Council Election process. Maintain statutory records, including director and councillor schedules and declarations of interest registers. Support the development and maintenance of governance policies, charters, and frameworks. Manage resources on Diligent and handle ASIC filings for Holdings and subsidiaries. Research governance best practices and provide recommendations for continuous improvement. What we are looking for: Tertiary qualification in business, commerce, or law (LL.B. or equivalent). Experience in stakeholder engagement and governance or legal environments. Knowledge of director duties and basic understanding of the Corporations Act 2001. Strong organisational and time management skills. Excellent written and verbal communication abilities. Ability to build and maintain relationships with various stakeholders. High attention to detail and problem-solving skills. Proactive, with the ability to manage multiple priorities and deadlines. Committed to RAC's values and leadership behaviours. Completion of a company secretarial course (e.g., Governance Institute of Australia Graduate Diploma of Applied Corporate Governance) is desirable. What can we offer you?
